Terms of service.
WAVESAIL / WAVEFLOW MASTER SERVICE AGREEMENT
Effective Date: ___ / ___ / 2025
By purchasing any Wavesail or Waveflow service (“Service Provider”), the buyer (“Client”) agrees to the following terms.
1. Services Covered Under This Agreement
This agreement applies to all services offered by Wavesail/Waveflow, including but not limited to:
Marketing & Creative Services
Brand audits
Caption packs
Content creation
Canva design
Post redesigns
Brand cleanse services
Landing page design
Email campaigns
Outreach setup
Content calendars
Launch packages
Business bundles
Logo design (non-trademarkable assets)
Project Management Services
Campaign planning
Task and workflow building
SOP creation
Asana/Notion board setup
Dashboard creation
Internal event planning
Team coordination
IT & Technical Services
Tech consulting
Troubleshooting
System setup
Software organization
Basic integrations
Onboarding workflows
Excludes regulated cybersecurity services and hardware repair.
AI & Automation Services
Custom AI bots
Workflow automations
Lead-generation bots
Chat scripts
Custom prompts
Automation dashboards
Template-based AI tools
CRM and email automations
AI-generated content
Experimental or beta AI tools
All services listed on the Waveflow/Wavesail pricing menu are included under this agreement.
2. No Guarantee of Results
Marketing Disclaimer
Service Provider does not guarantee increases in revenue, followers, traffic, engagement, conversions, leads, reach, sales, or any specific business outcome.
AI & Automation Disclaimer
Client understands that AI systems can behave unpredictably and that third-party AI platforms may change, malfunction, or produce incorrect or unexpected outputs.
Client agrees to review, verify, and approve all AI-generated content prior to public or operational use.
Service Provider is not liable for AI behavior, errors, misinterpretations, or downstream effects.
IT & Automation Reliability Disclaimer
Automations may break due to third-party platform updates or changes. Ongoing maintenance is the Client’s responsibility unless a separate maintenance or retainer agreement is purchased.
3. Client Responsibilities
Client agrees to:
Provide accurate information, assets, and required account access
Respond to communications in a timely manner
Supply temporary passwords or credentials when applicable
Review drafts and deliverables promptly
Verify AI-generated content before use
Understand that results depend in part on Client consistency, inputs, and execution
Not expect legal, financial, or medical advice from any service or AI tool
4. Payment Terms
Payment is due upfront unless otherwise agreed in writing.
Work begins only after payment and intake form completion.
Tiered services follow the Waveflow/Wavesail pricing menu.
Custom packages are billed individually.
Unauthorized chargebacks constitute a breach of this agreement.
5. Scope of Work & Revisions
Scope
All services are limited to the scope, deliverables, event size, timeline, and vendor count agreed upon at project start.
Any request outside the original scope constitutes a scope change and may require additional fees, timeline adjustments, or a new agreement.
Revisions
Tier 1 services: 1 revision
Tier 2 services: 2 revisions
Tier 3 services: up to 3 revisions
Tier 4 / Retainers: ongoing revisions within reasonable limits
AI bots and automations: up to 2 tuning rounds
Additional revisions or scope changes may incur extra charges.
6. Event Planning & Execution Disclaimer
Unless explicitly stated in writing, Service Provider is not responsible for on-site safety, security, crowd control, permits, insurance, weather outcomes, or venue compliance.
Client remains fully responsible for all permits, insurance coverage, regulatory requirements, and physical event operations.
7. Refund Policy
Refunds are available only if:
No work has begun
The intake form has not been submitted
The Client requests a refund within 24 hours of purchase
Once work has begun, refunds are not available.
Revisions will be provided to address reasonable concerns within the agreed scope.
8. Limitation of Liability
To the fullest extent permitted by law, Service Provider’s total liability is limited to the total amount paid by the Client.
Service Provider is not responsible for:
Loss of revenue or business opportunities
Underperforming or viral content
Platform bans, errors, or restrictions
Issues arising from Client-provided access or credentials
AI errors or unexpected outputs
Automation failures
Third-party software issues
Delays caused by the Client
Client misuse of deliverables
Any indirect, incidental, or consequential damages
This agreement covers creative, technical, and consulting services and does not constitute legal, financial, or regulated professional advice.
9. Indemnification
Client agrees to indemnify and hold Wavesail/Waveflow harmless from all claims, liabilities, damages, or disputes arising from:
Client-provided data, access, or instructions
Client misuse of AI tools, automations, or systems
Client misuse of technical or operational systems
Disputes involving Client customers, audiences, vendors, or partners
10. Ownership & Usage Rights
Upon full payment, Client receives full usage rights for final deliverables.
All proprietary methods, AI prompts, workflows, systems, and internal frameworks remain the intellectual property of the Service Provider unless explicitly purchased in writing.
Client may not resell, sublicense, or redistribute deliverables without written permission.
Service Provider may showcase completed work in portfolios unless the Client requests otherwise in writing.
11. Force Majeure
Service Provider shall not be liable for delays or failure to perform due to events beyond reasonable control, including but not limited to natural disasters, severe weather, platform outages, venue closures, labor disruptions, government actions, or acts of God.
12. Termination
Either party may terminate this agreement at any time.
All work completed up to the termination date remains payable.
Deposits and payments are non-refundable once work has begun.
13. Governing Law
This agreement is governed by the laws of the State of New Jersey.
14. Acceptance
By purchasing any Wavesail or Waveflow service, the Client acknowledges and agrees to all terms in this Master Service Agreement.
